1. Agreement to these terms
These Terms of Use form a binding agreement between you and 3C Waypoint ("3C Waypoint", "we", "us") governing your access to and use of this website and any content, forms, e-books, or other materials made available through it (together, the "Site"). By using the Site you accept these terms. If you do not accept them, do not use the Site.
Services we deliver under a signed proposal, statement of work, or master services agreement are governed by that document. Where it conflicts with these terms, that document controls.
2. Who may use the Site
The Site is intended for business use by individuals at least 18 years of age acting on behalf of a company. By using it you represent that you meet those conditions and that you have authority to accept these terms for the organization you represent.
3. Informational purpose and no professional advice
Everything on the Site, including articles, e-books, frameworks, and diagnostic material, is provided for general information about our services. It is not legal, customs, tax, trade compliance, insurance, or financial advice, and it does not create any advisory or fiduciary relationship. Trade regulation changes frequently and varies by jurisdiction. Confirm any regulatory or compliance question with a qualified professional before acting.
Nothing on the Site is a guarantee of commercial results. Marketing outcomes depend on factors outside our control, including your market, pricing, capacity, service quality, and sales execution.
4. Intellectual property
The Site and its contents — text, layout, graphics, logos, photographs, and the selection and arrangement of all of it — are owned by 3C Waypoint or its licensors and are protected by United States and international copyright and trademark law. "3C Waypoint" and our logo are our trademarks and may not be used without written permission.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER 3C WAYPOINT NOR ITS OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100) OR THE AMOUNT YOU PAID US FOR ACCESS TO THE SITE IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.
10. Indemnification
You agree to indemnify and hold harmless 3C Waypoint and its officers, employees, and agents from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Site, your breach of these terms, or your violation of any law or third-party right.
11. Governing law and venue

If any provision is held unenforceable, the remainder stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign them; we may assign them in connection with a merger, acquisition, or sale of assets.
